Terms of service

These Terms of Service ("Terms") apply to the purchase and use of services supplied by QRODED, a sole trader business operating in the United Kingdom ("QRODED", "we", "us", "our").
By purchasing the QRODED Launch Pack or any other services from us, you ("the Customer", "you", "your") agree to be bound by these Terms.
These Terms apply to UK business customers only.
1. QRODED LAUNCH PACK
The QRODED Launch Pack is provided at a price of £499 for the first year.
The Launch Pack includes:
- A mobile-optimised business website.
- Website hosting for the first year.
- A domain name selected and provided by QRODED, where applicable.
- Creation of a website based on information and materials supplied by the Customer.
- Creation of a logo where the Customer does not already have one, where agreed as part of the service.
- A free voucher to receive one piece of branded workwear selected by the Customer from the available QRODED workwear collection.
- 50 branded business cards.
- Up to five minor website revisions during the first year.
- Initial website development and delivery within approximately 5–7 working days after QRODED has received all required information, content, images, approvals and other materials from the Customer.
The 5–7 working day timeframe is an estimated timeframe and may be extended where QRODED is waiting for information, content, approvals, decisions or other materials from the Customer or where circumstances outside QRODED's reasonable control cause a delay.
2. PAYMENT
Payment for the QRODED Launch Pack must be made in full before work commences.
All payments will be processed through the QRODED online store and associated payment processing systems.
The Launch Pack price is £499 for the first year.
Following the initial year, continued use of the QRODED website, hosting and associated services is subject to an annual renewal fee of £250, unless otherwise agreed in writing.
QRODED may contact the Customer before the renewal date regarding renewal and payment.
If the renewal fee is not paid when due, QRODED reserves the right to suspend hosting and associated services and/or take the website offline following reasonable notice to the Customer.
3. WEBSITE DEVELOPMENT
QRODED will create a website based on the information, requirements and materials provided by the Customer.
The Customer is responsible for supplying accurate and suitable:
- Business information;
- Contact details;
- Images and photographs;
- Logos and branding materials, where applicable;
- Business descriptions;
- Text and other content; and
- Any other information reasonably required to create the website.
Where agreed as part of the Launch Pack, QRODED may assist with or create certain content, branding or a logo where the Customer does not have suitable existing materials.
The Customer remains responsible for ensuring that information supplied to QRODED is accurate, lawful and suitable for publication.
QRODED is not responsible for errors, omissions or inaccuracies resulting from incorrect or incomplete information supplied by the Customer.
4. WEBSITE APPROVAL
QRODED will provide the Customer with an opportunity to review the website before it is made publicly available.
The website will not be launched until the Customer has confirmed that they are satisfied with the website, subject to the Customer providing reasonable and timely feedback.
Once the Customer has approved the website and it has been launched, the website will be considered approved for the purposes of the initial development.
Approval of the website does not prevent the Customer from using the minor revision allowance described in these Terms.
5. WEBSITE REVISIONS
The Launch Pack includes up to five minor website revisions per year.
Minor revisions may include reasonable changes such as:
- Updating text;
- Replacing images;
- Updating contact information;
- Changing opening hours;
- Making small content amendments; and
- Similar minor adjustments.
The five revisions are intended for reasonable maintenance and updates rather than redevelopment of the website.
The following may be considered a major change and may incur an additional charge:
- Significant redesigns;
- New website sections or pages;
- New functionality;
- E-commerce functionality;
- Complex forms or integrations;
- Significant structural changes;
- Major branding changes; or
- Other work that falls materially outside routine website maintenance.
QRODED will discuss any additional charges with the Customer and obtain approval before undertaking chargeable major work.
Unused minor revisions do not carry over into subsequent years.
6. WEBSITE HOSTING AND CONTROL
QRODED will provide hosting for the website as part of the Launch Pack.
The website and its hosting environment will remain under QRODED's management and control while the Customer continues to use QRODED's website service.
The Customer does not acquire ownership of QRODED's hosting infrastructure, systems, templates, processes or other underlying technology.
Where the Customer requests the transfer of the website, domain or associated assets away from QRODED, QRODED will consider the request and may charge a reasonable fee for work required to facilitate the transfer, where applicable.
QRODED does not guarantee that a website will remain compatible with every third-party service, browser, device, platform or technology indefinitely.
7. DOMAIN NAME
Where a domain name is included within the Launch Pack, QRODED will arrange the purchase or registration of a suitable domain on behalf of the Customer.
QRODED may select an appropriate available domain based on the Customer's business name and requirements.
Domain availability cannot be guaranteed.
The Customer is responsible for ensuring that their chosen business name, trading name, trademarks and other branding do not infringe the rights of another person or organisation.
Domain registrations are subject to the terms and conditions of the relevant domain registrar and registry.
8. BRANDED WORKWEAR
The Launch Pack includes a voucher/code entitling the Customer to one item of branded workwear at no additional charge from the available QRODED workwear collection.
Following purchase of the Launch Pack, QRODED will provide the Customer with a unique code to be used through the QRODED Workwear Store to claim their included item.
The Customer is responsible for selecting the appropriate:
- Garment;
- Size;
- Colour, where applicable; and
- Other available options.
The workwear code may only be redeemed against one eligible item of workwear and cannot be exchanged for cash, transferred to another person, or used towards the purchase of additional items unless otherwise agreed by QRODED.
The Customer is responsible for checking their selected garment, size, colour and personalisation details before completing their workwear order.
QRODED does not guarantee that every garment, colour, size or style will remain permanently available. Where an item selected by the Customer is unavailable, QRODED may offer a suitable alternative.
The Customer acknowledges that branded and personalised workwear is produced specifically for them.
Once production of personalised workwear has commenced, the order cannot ordinarily be cancelled or returned simply because the Customer has changed their mind, subject always to any rights that cannot legally be excluded.
The workwear code must be redeemed within the period specified by QRODED. QRODED reserves the right to refuse redemption where a code has expired, has already been redeemed, or has been used otherwise than in accordance with these Terms and Conditions.
9. WORKWEAR PRODUCTION AND DELIVERY
Branded workwear may be produced and fulfilled by third-party suppliers.
The workwear may therefore be dispatched directly from the relevant supplier to the Customer.
QRODED will provide the supplier with the information necessary to fulfil the order.
Production and delivery times are estimates and may vary due to supplier availability, production requirements, courier delays or circumstances outside QRODED's reasonable control.
QRODED will use reasonable efforts to assist the Customer where a delivery issue occurs.
Where a product arrives damaged, defective or materially different from the approved order, the Customer should notify QRODED as soon as reasonably possible and provide appropriate photographs or other evidence where requested.
QRODED will work with the relevant supplier to resolve legitimate production or fulfilment issues.
10. BUSINESS CARDS
The Launch Pack includes 50 branded business cards.
The business cards will be produced using the Customer's approved design and information.
Additional business cards may be ordered separately through the QRODED online shop and will be charged at the applicable price at the time of purchase.
Business cards are personalised products.
The Customer must carefully check the digital proof provided by QRODED before production.
Once the Customer has approved the proof and production has commenced, changes may not be possible and the Customer may be responsible for the cost of reprinting where the error was contained in information or artwork approved by the Customer.
11. DIGITAL PROOF AND CUSTOMER APPROVAL
Where QRODED provides a digital proof for workwear, business cards or other personalised products, the Customer is responsible for reviewing the proof carefully before approval.
Approval confirms that the Customer has checked the relevant details, including where applicable:
- Spelling;
- Names;
- Telephone numbers;
- Email addresses;
- Website addresses;
- Logos;
- Colours;
- Sizes;
- Images;
- Other business information; and
- Personalisation details.
QRODED will not ordinarily be responsible for errors contained in a proof that the Customer has approved.
This does not affect the Customer's statutory rights in relation to products that are defective, not as described or otherwise fail to comply with applicable law.
12. CANCELLATION AND REFUNDS
QRODED recognises that applicable UK consumer and contract law may provide cancellation, refund or other statutory rights in certain circumstances.
Nothing in these Terms is intended to remove or restrict any legal right that cannot lawfully be excluded.
Where the Customer requests cancellation after QRODED has started work, QRODED may be entitled to retain or charge for the proportion of the service that has already been performed.
For personalised goods, including branded workwear and personalised business cards, cancellation rights may be restricted once production has commenced, subject to applicable law.
Where a personalised product is defective, damaged, not as described or otherwise does not conform to the contract, the Customer should contact QRODED so that the matter can be assessed and an appropriate remedy arranged in accordance with applicable law.
For website services, where development has commenced at the Customer's request, the Customer may be liable for work already carried out if the contract is subsequently cancelled, subject to applicable statutory rights.
13. CUSTOMER DELAYS
QRODED's estimated delivery timeframe begins once QRODED has received all information, content, images, approvals and other materials reasonably required to commence the work.
If the Customer does not provide the required information or approvals promptly, the delivery date may be delayed.
QRODED will not be responsible for delays caused by the Customer's failure to provide information, feedback or approval.
14. INTELLECTUAL PROPERTY
The Customer retains ownership of intellectual property that they provide to QRODED, including their existing logos, photographs, written content and branding materials, subject to any third-party rights.
The Customer confirms that they have the necessary rights and permissions to provide such materials to QRODED and authorise QRODED to use them for the purpose of providing the services.
QRODED retains ownership of its pre-existing materials, systems, processes, templates, design elements, software, know-how and other intellectual property used to provide the service.
Unless otherwise agreed in writing, the Customer does not acquire ownership of QRODED's underlying website systems, templates or proprietary materials.
The Customer grants QRODED permission to use the Customer's business name, website and completed work for reasonable portfolio, promotional and marketing purposes unless the Customer requests otherwise in writing.
15. CUSTOMER RESPONSIBILITIES
The Customer is responsible for ensuring that all information and materials provided to QRODED:
- Are accurate;
- Are lawful;
- Do not infringe third-party intellectual property rights;
- Do not contain unlawful or misleading claims; and
- Can legally be used and published.
The Customer is responsible for ensuring that their business complies with any industry-specific legal or regulatory requirements applicable to them.
QRODED does not provide legal, regulatory, financial or professional compliance advice.
16. WEBSITE CONTENT AND LEGAL COMPLIANCE
QRODED may create or arrange website content based on information provided by the Customer.
The Customer remains responsible for ensuring that the final website complies with laws and regulations applicable to their business.
This includes, where relevant, requirements relating to:
- Privacy;
- Cookies;
- Data protection;
- Accessibility;
- Advertising;
- Consumer protection;
- Industry-specific regulations; and
- Required business disclosures.
QRODED may recommend or provide general website content, but this does not constitute legal advice.
The Customer should obtain independent professional advice where necessary.
17. THIRD-PARTY SERVICES
QRODED may use third-party suppliers and service providers to deliver aspects of the Launch Pack, including hosting, domain registration, printing, workwear production, delivery, payment processing and other services.
QRODED will use reasonable care when selecting and working with third-party suppliers but cannot guarantee the uninterrupted availability or performance of third-party services.
Where a delay or failure is caused by a third-party provider and is outside QRODED's reasonable control, QRODED will use reasonable efforts to assist the Customer but will not be liable for the third party's failure itself.
18. LIMITATION OF LIABILITY
Nothing in these Terms excludes or limits liability where doing so would be unlawful.
Subject to that limitation, QRODED will not be responsible for indirect or consequential losses, loss of profits, loss of business, loss of opportunity, loss of goodwill or other consequential economic loss arising from the provision or use of the services.
QRODED does not guarantee that the Customer's website will generate a particular number of visitors, enquiries, sales, leads, search engine rankings or other commercial results.
The Customer remains responsible for their own business decisions and commercial activities.
19. WEBSITE AVAILABILITY
QRODED will use reasonable efforts to keep the Customer's website available and operational.
However, temporary interruption may occur due to:
- Maintenance;
- Technical issues;
- Hosting problems;
- Domain issues;
- Third-party service failures;
- Security incidents;
- Software updates; or
- Circumstances outside QRODED's reasonable control.
QRODED does not guarantee uninterrupted availability of the website at all times.
20. SUSPENSION OR TERMINATION
QRODED may suspend or terminate services where:
- Required renewal payments remain unpaid;
- The Customer materially breaches these Terms;
- The website is being used for unlawful purposes;
- The Customer provides unlawful or infringing material;
- Continued provision of the service creates a material legal or security risk; or
- Other circumstances arise that reasonably require suspension or termination.
Where reasonably possible, QRODED will provide notice before suspension or termination.
If the Customer chooses not to renew the annual service, QRODED may suspend hosting and associated services after the current paid service period ends.
21. EXPIRY OF SERVICE
The Launch Pack covers the initial twelve-month service period beginning from the date agreed between QRODED and the Customer.
After the first year, continued hosting and associated website services require payment of the applicable annual renewal fee.
If the Customer does not renew, QRODED may take the website offline after the applicable service period ends.
The Customer should contact QRODED before the end of the service period if they wish to discuss transferring their website or domain to another provider.
22. EVENTS OUTSIDE OUR CONTROL
QRODED will not be liable for delays or failures caused by circumstances reasonably outside its control.
Such circumstances may include, but are not limited to:
- Supplier failures;
- Courier delays;
- Internet or telecommunications failures;
- Hosting outages;
- Cybersecurity incidents;
- Natural disasters;
- Government action;
- Industrial disputes;
- Power failures; or
- Other circumstances beyond QRODED's reasonable control.
QRODED will use reasonable efforts to minimise disruption and resume services as soon as reasonably practicable.
23. CHANGES TO THESE TERMS
QRODED may update these Terms from time to time.
Where a change materially affects an existing Customer's contractual rights or obligations, QRODED will provide reasonable notice where appropriate.
The Terms applicable to an order will generally be those in force at the time the order is placed, subject to any subsequent changes that are legally permitted.
24. GOVERNING LAW
These Terms and any dispute arising from them shall be governed by the laws of England and Wales.
The courts of England and Wales shall have jurisdiction over disputes arising in connection with these Terms, subject to any mandatory legal rights applicable to the Customer.
